Although Hero does not generally monitor user activity and use of Services, if Hero becomes aware of any possible violations by you of any provision of the Terms, Hero may investigate such violations and reserves the right to suspend or terminate your account if we suspect any unauthorized activity or breach of these Terms.

We may charge fees for certain transactions or services. These fees will be disclosed to you before you complete the transaction.

You are responsible for any applicable taxes, fees, or charges associated with your use of the Services.

You agree to indemnify and hold Hero harmless from any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of:

• your use of, or inability to use Services;
• your violation of the Terms;
• your violation of any rights of another party, including any other users of Services; or
• your violation of any applicable laws, rules or regulations. Hero may, at its own cost, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Hero in asserting any available defenses. This provision does not require you to indemnify any Hero Party for any fraud, gross negligence, or wilful misconduct in connection with the Services

The software, site, services, and any information displayed therein are provided on an “as is” and “as available” basis, with all faults, and Hero expressly disclaims all warranties, representations, and conditions of any kind arising from or related to these terms or your use of the site, services, software, or any information displayed therein, including the implied warranties of merchantability and fitness for a particular purpose. You acknowledge that, to the extent allowed by applicable law, all risk of use of the site, services, and software rests entirely with you.

You acknowledge that cryptocurrencies are volatile and subject to fluctuations in value.

You understand that the regulatory environment for cryptocurrencies is uncertain and may impact the legality and use of our Services.

You assume all risks associated with the use of our Services, including the risk of loss of your cryptocurrency assets.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or assets, arising from your use of our Services.

Our total liability to you for any claims arising from or related to the use of the Services is limited to one thousand dollars ($1,000.00).

You acknowledge and agree that access to the Site and usage of Services will include and provide you with access to various documents, processes, software and other technologies and materials, to which Hero and/or one or more third parties will hold all intellectual property rights, including (a) copyrights, rights affording protection similar to copyright, rights in databases, patents and rights in inventions, trademarks, rights in internet domain names and website addresses and other rights in trade names, designs, know-how, trade secrets and other rights in Confidential Information, including under marketing legislation; (b) all other rights having equivalent or similar effect in any country or jurisdiction in the world (collectively - Intellectual Property Rights).

All copyrights, trademarks, patents, trade secrets and other Intellectual Property Rights relating to the Site and Services, including the systems, platforms, software and documentation provided by Hero to you are the property of Hero and/or the third party which granted Hero the right to provide/supply them, shall remain at all times the sole and exclusive property of Hero or the relevant third party, and you shall have no right or interest in them except for the right to access and use them in order to access the Platform and use Services under these Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the revised Terms on our website or through other communication channels.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

The Terms commence on the date when you accept them (as described in the preamble above) and remain in full force and effect for so long as you access or use of Services, unless terminated earlier in accordance with this Section 8.

We may suspend or terminate your access to the Services at any time, with or without cause, without prior notice or liability.

These Terms will be of no further force and effect with respect to you if you cease all use of the Services and Software and no longer visit our Site.

Upon termination, your right to use the Services will cease immediately. Hero will not have any liability whatsoever to you for any suspension or termination. All provisions of the Terms which by their nature should survive termination of Services will do so.

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law principles. The United Nations Convention On Contracts For The International Sale Of Goods does not apply to these Terms.

Any dispute, arising out of or relating to these Terms, shall be finally settled by arbitration in the Vilnius Court of Commercial Arbitration in accordance with its Rules of Arbitration.

The number of arbitrators shall be 3.

The place of arbitration shall be Vilnius, Lithuania.

The language of arbitration shall be English.

The law of the Republic of Lithuania shall be applicable to the dispute.

All claims and disputes within the scope of this arbitration agreement must be arbitrated on an individual basis and not on a class basis, only individual relief is available, and claims of more than one customer or user cannot be arbitrated or consolidated with those of any other customer or user. Notwithstanding anything to the contrary herein, (a) representative action for public injunctive relief may be arbitrated on a class basis and (b) in the event that the foregoing sentence is deemed invalid or unenforceable with respect to a particular class or dispute for recovery of damages, neither you nor we are entitled to arbitration and instead claims and disputes will be resolved by courts of the Republic of Lithuania.

Communications between you and Hero use electronic means, whether made via the Site or Services or sent via email, or whether Hero posts notices on the Site or Services. For contractual purposes, you (1) consent to receive communications from Hero in an electronic form; and (2) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Hero provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing. The foregoing does not affect your statutory rights.

Force Majeure - Hero will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, global pandemics, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

Where Hero requires that you provide an email address, you are responsible for providing Hero with your most current email address. In the event that the last e-mail address you provided to Hero is not valid, or for any reason is not capable of delivering to you any notices required/ permitted by the Terms, Hero’s dispatch of the e-mail containing such notice will nonetheless constitute effective notice.

If any portion of these Terms is held invalid or unenforceable, that portion will be construed in a manner to reflect, as nearly as possible, the original intention of the parties, and the remaining portions will remain in full force and effect.

The Terms, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated or otherwise transferred by you without prior written consent of Hero.

These Terms are the final, complete and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties with respect to such subject matter.
